Don't know if this counts as a resolution, but in Neville v Wilson [1997] Ch. 144 an informal liquidation by shareholders in a private company created contracts inter se which formed the basis for a finding of a series of constructive trusts.

Actually we were doing a case from Pennsylvania, a place that embraces the rule in all its rigid glory.
